These Terms of Service govern your access to and use of Verity Studio's apps, website, APIs, stores, tools, and related services. By creating an account, browsing, listing, ordering, reviewing, messaging, or otherwise using the Platform, you agree to these Terms.

Read these Terms together with our , , , , Intellectual Property Policy, and Community Guidelines.

1. Who We Are

The Platform is operated by Verity Studio Private Limited.

2. Core Definitions

In these Terms, Customer, Vendor, Store, Listing, Order, Content, Wallet, and Platform have the meanings used across our Policies.

3. Marketplace Model

Verity is a curated multi-vendor fashion marketplace. Unless a Listing clearly states otherwise, products offered on the Platform are offered by third-party Vendors, not by Verity as the direct seller.

That means:

  • Vendors own their inventory;
  • Vendors set their own prices;
  • Vendors are responsible for listing accuracy, product classification, legality, and fulfillment;
  • Verity operates the marketplace, enforces Platform rules, facilitates transactions, and may intervene to protect users and marketplace integrity.

4. Eligibility and Account Use

You may use the Platform only in compliance with applicable law.

If you are not legally capable of entering a binding agreement on your own, you should use the Platform only with the involvement of a parent or legal guardian.

You are responsible for:

  • providing accurate account information;
  • keeping your credentials secure;
  • controlling access to your account and devices;
  • updating your information when it changes.

Verity may refuse registration, require verification, or restrict access where reasonably needed for security, fraud prevention, legal compliance, or Policy enforcement.

5. Accounts, Usernames, and Verification

Customers may hold more than one customer account, subject to anti-abuse rules and the .

Verity may rename, restrict, or remove usernames or profile names that are offensive, misleading, impersonating, trademark-infringing, or otherwise inconsistent with our standards.

Vendor accounts, staff access, and verification are governed in more detail by the Vendor Agreement.

Verity may archive or deactivate inactive accounts.

6. Orders and Payments

When you place an Order, you authorize Verity and the relevant Vendor to process the transaction and the related payment, fulfillment, shipping, support, return, refund, and service communications.

Orders may be refused, limited, canceled, or reversed where there is:

  • a pricing, catalog, or technical error;
  • stock or availability issues;
  • address or delivery feasibility problems;
  • suspected fraud, abuse, or policy violations;
  • legal or safety concerns;
  • inability or refusal of the relevant Vendor to fulfill.

At launch, the Platform may support eSewa and Cash on Delivery where the relevant Vendor enables it. Verity may add, remove, or change payment methods at any time.

7. Wallets, Credits, and Stored Value

If Verity offers a Wallet, store credit, or similar balance feature:

  • it is not a bank account;
  • it does not accrue interest;
  • it may be used only in the ways Verity permits;
  • Verity may adjust, reverse, withhold, or remove balances where needed to correct errors, issue refunds, investigate abuse, or comply with law.

8. Shipping and Fulfillment

Vendors are generally responsible for fulfilling Orders unless Verity expressly undertakes that role for a specific service or campaign.

Shipping may be handled by Vendors, third-party couriers, or integrated logistics services. Delivery dates are estimates unless we expressly guarantee otherwise.

9. Returns, Refunds, and Cancellations

Returns, refunds, cancellations, and exchanges are governed by the , Vendor-specific terms disclosed on the Platform, and any mandatory legal rights that apply.

Vendor settings may differ, but they cannot override:

  • non-waivable rights under applicable law;
  • Verity's authority to resolve Platform disputes;
  • Verity's minimum marketplace protections for wrong-item, counterfeit, materially misdescribed, or similar valid claims.

10. Product Transparency and Classification

Vendors must describe products truthfully. Where originality, copy grade, brand status, or authenticity is relevant, Listings must not misrepresent what the Customer is buying.

Verity may require or use product classifications such as:

  • Original or Authentic
  • Premium First Copy
  • First Copy
  • Second Copy
  • Third Copy
  • Inspired Design
  • Unbranded

Counterfeit goods are prohibited.

11. Reviews, Ratings, and User Content

You are responsible for the Content you submit, including reviews, ratings, photos, messages, and support materials.

By submitting Content, you grant Verity a non-exclusive, worldwide, royalty-free license to host, store, format, display, moderate, promote, and otherwise use that Content as reasonably necessary to operate, improve, protect, and market the Platform.

You must not submit Content that is unlawful, deceptive, infringing, threatening, abusive, defamatory, invasive of privacy, or otherwise harmful.

12. Vendor Contact Rules

Vendors may contact Customers only as reasonably needed for fulfillment, delivery coordination, returns, refunds, and Order-related support.

Vendors must not use customer contact information for unrelated marketing, repeated WhatsApp outreach, spam, list-building, or off-platform solicitation without a valid legal basis and any required consent.

13. Inserts and Off-Platform Solicitation

Thank-you cards, care instructions, and similar brand materials may be included with Orders. Vendors must not use inserts, coupons, QR codes, or messages to:

  • misuse customer data;
  • pressure Customers to transact off-platform;
  • evade Verity fees or rules;
  • undermine marketplace integrity.

14. Verity's Moderation Rights

Verity may edit, reject, de-rank, pause, restrict, remove, or restore any account, Store, Listing, review, message, or other Content where we reasonably believe doing so is necessary to:

  • protect Customers or Vendors;
  • comply with law, court orders, or lawful requests;
  • enforce our Policies;
  • protect intellectual property;
  • address fraud, abuse, security risk, or unsafe products;
  • preserve marketplace quality, trust, and reputation.

We may act with or without prior notice depending on the seriousness and urgency of the issue.

Verity may organize, rank, recommend, highlight, suppress, or remove Listings using confidential criteria such as relevance, quality, popularity, return patterns, trust signals, operational performance, customer experience, or sponsorship.

We are not required to disclose our ranking logic in detail.

We may display sponsored Listings, promoted Stores, or paid placements where appropriately identified.

16. AI, Automation, and Beta Features

The Platform may use automated systems or AI-assisted tools for search, recommendations, moderation, translations, descriptions, fraud detection, and operational support.

AI-generated or automatically generated content may contain inaccuracies. Vendors remain responsible for the accuracy of their Listings.

Verity may release beta, preview, or experimental features that may change, be withdrawn, or perform differently from final releases.

17. Prohibited Conduct

You must not:

  • violate the ;
  • provide false information or impersonate another person or business;
  • sell or promote counterfeit, illegal, unsafe, or infringing goods;
  • manipulate reviews, rankings, refunds, or promotions;
  • abuse support channels or dispute processes;
  • scrape, reverse engineer, interfere with, or attack the Platform;
  • upload malicious code, malware, or harmful files;
  • use the Platform in a way that violates applicable law.

18. Intellectual Property

The Platform, excluding third-party or user-submitted Content, is owned by Verity or its licensors and protected by applicable intellectual-property law.

Rules for brand use, complaints, takedowns, and repeat infringement are described in the Intellectual Property Policy.

19. Support and Disputes

We aim to respond to support requests within 24 to 48 hours, but response times may vary.

If a dispute arises between a Customer and a Vendor through the Platform, Verity may request evidence, investigate, and make the final Platform decision, subject to applicable law.

Users and Vendors must first attempt to resolve Platform-related disputes through Verity support before starting court proceedings.

20. Suspension and Termination

Verity may suspend, restrict, or terminate access where we reasonably believe there is:

  • fraud or suspected fraud;
  • abuse, harassment, or threats;
  • breach of these Terms or another Policy;
  • repeated fulfillment failure or serious operational failure;
  • safety, authenticity, or intellectual-property risk;
  • misuse of Personal Information;
  • legal, regulatory, or security exposure.

When appropriate, we may request correction before stronger enforcement. Immediate action may be taken where urgency requires it.

21. Independent Businesses; No Partnership

Vendors are independent businesses. Nothing in these Terms makes a Vendor an employee, agent, franchisee, joint venturer, or legal partner of Verity merely by using the Platform.

22. Disclaimers

To the fullest extent permitted by law, the Platform is provided on an as-available and as-updated basis. Verity does not guarantee uninterrupted availability, error-free operation, or that every Listing, review, search result, or recommendation will always be complete, current, or accurate.

23. Limitation of Liability

To the fullest extent permitted by law, Verity will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, data, goodwill, or business opportunity arising out of or related to Platform use.

Nothing in these Terms excludes liability that cannot legally be excluded.

24. Third-Party Services and Outages

Verity is not responsible for outages, delays, or failures caused by payment providers, couriers, infrastructure providers, internet failures, maintenance, force majeure, or similar causes outside our reasonable control.

25. Changes to the Platform and These Terms

Verity may add, remove, modify, suspend, or discontinue features, workflows, tools, and services without user approval.

We may update these Terms from time to time. Material changes may require renewed acceptance before continued use.

26. Governing Law

These Terms are governed by the laws of Nepal.
